CarpoolQR helps people who park at the same place find each other and message about a possible shared ride. We do not provide rides, drivers, insurance, or parking.
These Terms of Use (“Terms”) form a binding agreement between you and GSR Solutions Inc. (operating the product under the trade name CarpoolQR; together with the product, “we”, “us”, or “CarpoolQR”). They govern access to and use of the CarpoolQR websites (www.carpoolqr.com and www.carpoolqr.ca), applications, QR materials, messaging features, and related services (collectively, the “Service”).
By creating an account, scanning a QR code, joining a lot, printing materials, purchasing a plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Safety & Community Guidelines. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization (employer, school, contractor, site owner, or similar), you represent that you have authority to bind that organization, and “you” includes that organization.
1. What the Service is — and is not
CarpoolQR is a software matching and messaging tool. It helps people associated with the same parking area or site discover others who may want to share a commute, and to message about possible arrangements. Matching is best-effort and is not a guarantee that someone heading your way will be available.
The Service may be used at many site types, including:
- Offices, campuses, schools, and hospitals
- Industrial plants, warehouses, and yards
- Construction sites, laydown areas, and temporary job sites
- Other shared parking locations of any size
CarpoolQR does not:
- Provide transportation, dispatch, chauffeuring, or ride booking
- Act as a carrier, taxi, limousine, TNC/rideshare, or broker of rides
- Employ drivers, verify licences, run background checks, or inspect vehicles
- Provide insurance for vehicles, passengers, cargo, or site access
- Sell parking, control gates, or manage a site’s parking policies
- Process fares between riders and drivers, or set prices for rides
Any carpool, pickup, meeting, or travel arrangement is a private agreement solely between the individuals involved. CarpoolQR is not a party to those arrangements and is not responsible for them.
2. Eligibility
You must be at least 18 years of age and legally able to enter a binding contract. The Service is not directed to children. You are responsible for complying with all laws that apply to you (including traffic, licensing, and insurance) and with the site owner’s policies (including access control, PPE, visitor rules, and parking rules).
3. Accounts and accuracy
You agree to provide accurate registration information and keep it current. For matching, the Service uses postal codes or ZIP codes for approximate area matching— not residential street addresses. A person who creates a lot may publish a full site or parking-lot address so others can find the correct place.
You are responsible for safeguarding login credentials and for all activity under your account. Notify us promptly at info@carpoolqr.com if you suspect unauthorized access.
4. People who create or Host a lot
If you create a “lot,” QR code, or site on the Service, you represent and warrant that:
- You are allowed to post that site’s name, address, and QR materials (or you make clear the lot is independent and not affiliated with the site)
- Materials you print or display will not mislead people about whatCarpoolQR does (matching software, not a transport service)
- You remain solely responsible for any site policies, labour rules, collective agreements, safety, parking allocation, and internal approvals that apply to you
CarpoolQR is not an employer’s agent, HR department, safety officer, or insurer. Hosts may edit, pause, archive, or reset a lot subject to product rules. Paid access remains subject to the subscription terms below.
5. People who join a lot
People who join a lot agree that participation is voluntary unless a separate policy requires otherwise. You decide whether to message others, meet, drive, or accept a seat. You may hide yourself from the map and lists at any time using in-app controls.
6. Assumption of risk
Meeting people in person, entering vehicles, traveling to or from a site (including industrial and construction sites), and sharing rides involve inherent risks of injury, property damage, delay, and other loss. You use the Service and any resulting arrangements entirely at your own risk. You alone evaluate other users, vehicles, routes, weather, site access rules, and safety.
7. User conduct
You will not:
- Harass, threaten, stalk, intimidate, or harm others
- Send illegal, hateful, sexually explicit, or abusive content
- Impersonate others or misrepresent affiliation with a site
- Scrape, reverse engineer, overload, or interfere with the Service
- Use the Service for commercial taxi, for-hire, or regulated passenger transport without all required licences and insurance
- Share another person’s personal information without a lawful basis
- Use the Service if you are under 18
We may suspend or terminate accounts that violate these Terms or that create risk for other users or for the Service.
8. Software fees, Host, and payments
Software access only. Fees pay for access to CarpoolQR software features. Fees are never payment for transportation, drivers, insurance, parking spaces, or site access.
Free lot + $4 chat unlock. Creating a lot, joining, and using the map are free. A one-time software unlock opens chat for that person on that lot. If a lot pauses after a period of no activity, a prior unlock may still apply if the lot is restored, as described in the product.
Host (optional). Host is a monthly or annual software plan for a lot so that people on that lot can message without each buying a $4 unlock. The first Host lot on an account may include a short trial (currently seven days) with Host-level messaging. After the trial, access continues under the plan you selected once payment succeeds. Additional Host lots do not automatically receive another trial unless we state otherwise in writing.
Plans and currency. Prices are displayed in CAD for Canada and USD for the United States unless stated otherwise. Applicable taxes (including GST/HST/PST in Canada and sales tax where required) may be added at checkout.
Billing. Card payments are processed by third-party processors (for example Stripe). We do not store full payment card numbers (PAN). You authorize recurring charges for subscriptions until you cancel through the billing portal or the paid term ends under product rules.
Cancellation and refunds. You may manage or cancel Host subscriptions through the in-app billing tools (Stripe Customer Portal where enabled). You may pause or archive a lot in the product; paid access remains subject to the paid term. Fees are generally non-refundable once a paid period has started, except where required by law (including non-waivable consumer protections in your province or state). If a Host trial ends without conversion, Host messaging on that lot may be suspended unless people use a $4 unlock. Failed payments, chargebacks, or fraud may result in suspension of paid features and deactivation of lots.

9. Intellectual property
The Service, including software, branding, UI, and documentation, is owned by GSR Solutions Inc. or its licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal or internal purposes in accordance with these Terms. You may not copy, resell, or white-label the Service without our prior written consent.
You retain rights in content you submit (for example messages and lot names). You grant us a worldwide licence to host, process, and display that content solely to operate the Service.
10. Privacy
Our collection and use of personal information is described in the Privacy Policy. Members share postal or ZIP areas for approximate matching; a lot creator may publish a full site address for that lot only.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT MATCHING RESULTS WILL MEET YOUR EXPECTATIONS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GSR SOLUTIONS INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS (THE “CARPOOLQR PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, BUSINESS, OR RIDES, ARISING OUT OF OR RELATED TO THE SERVICE OR ANY MEETING, RIDE, OR INTERACTION BETWEEN USERS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE CARPOOLQR PARTIES FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
13. Release
You release and forever discharge the CarpoolQR Parties from claims, demands, and damages of every kind arising out of or related to interactions with other users, carpools, sites, parking areas, vehicles, or third-party services, to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless the CarpoolQR Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your content or messages; (d) any ride, meeting, or site access you arrange or attend; (e) your lot or site postings if you create or Host a lot; or (f) your violation of law or third-party rights.
15. Language
The Service interface is available in English, French, and Spanish. These Terms are provided in English. Where a French version is required by law for a consumer contract in Quebec, the French version will prevail for that purpose when both versions are provided. Translations of product UI may not be complete.
16. Governing law and disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Subject to mandatory consumer protection law in your province or state of residence, you agree to the exclusive jurisdiction of the courts of Alberta, Canada, for disputes arising from the Service.
17. Changes
We may update these Terms from time to time. We will post the updated version with a new effective date. Where required by law, we will provide additional notice. Continued use after the effective date constitutes acceptance of the updated Terms where permitted.
18. General
If any provision is unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale. Failure to enforce a provision is not a waiver.
